1. Definitions

For the purposes of these Terms of Service, as well as all Policies published on the Website, the following terms shall have the meanings set out below.

Term Definition
Customer Means any individual or legal entity that accesses the Website, uses the Services, or places an Order with Official Starter Packs™.
Order Means any request to purchase Products or Services submitted by the Customer to Official Starter Packs™.
Product or Products Means any physical, digital, or customized item designed, manufactured, distributed, or sold by Official Starter Packs™.
Service or Services Means all services offered by Official Starter Packs™, including, without limitation, design, customization, production, printing, certification, numbering, customer support, and any related services.
Website Means the official Official Starter Packs™ website, accessible at www.officialstarterpacks.com, including all of its pages, features, applications, content, and Services.
OSP™ Artwork Means any graphic design, illustration, layout, composition, image, or visual representation created by Official Starter Packs™ as part of an Order.
Submitted Content Means any photograph, image, illustration, logo, text, name, file, information, or other content provided by the Customer for the purpose of fulfilling an Order.
OSP™ Certificate of Authenticity Means the physical or digital certificate issued by Official Starter Packs™ confirming the authenticity of an eligible Product.
OSP™ Identification Number Means the unique number assigned, where applicable, by Official Starter Packs™ to a Product for identification, certification, tracking, or verification purposes.
Carrier Means any company appointed to transport and deliver Products, including Canada Post or any other carrier selected by Official Starter Packs™.
Account Means the user account created by the Customer on the Website, where such functionality is available.
Payment Means any financial transaction made by the Customer for the purchase of a Product or Service.
Certificate Means, where applicable, the OSP™ Certificate of Authenticity issued with certain Products.
Policies Means all policies published on the Website, including, without limitation, the Privacy Policy, Return and Refund Policy, Shipping Policy, Submitted Content Policy, Intellectual Property Policy, Artificial Intelligence Policy, OSP™ Certification and Numbering Policy, and any other policy published by Official Starter Packs™.
Parties Means, collectively, Official Starter Packs™ and the Customer.

Unless otherwise stated, all capitalized terms defined above shall retain the same meaning throughout these Terms of Service and all Policies published on the Website.

2. Introduction

Welcome to the Official Starter Packs™ Website ("OSP™," "we," "our," or "us").

These Terms of Service govern access to the Website and the use of our Products, Services, applications, digital content, and any interaction with Official Starter Packs™.

By accessing the Website, creating an Account, using our Services, submitting Submitted Content, or placing an Order, the Customer acknowledges having read, understood, and agreed to be bound by these Terms of Service.

If the Customer does not agree to these Terms of Service, the Customer must immediately discontinue the use of the Website and the Services.

These Terms of Service must be read together with all Policies published on the Website, which form an integral part of these Terms of Service.

In the event of any inconsistency between these Terms of Service and a specific Policy, that Policy shall prevail solely with respect to the subject matter it governs.

3. Eligibility and Use of the Services

The Services offered by Official Starter Packs™ are intended for individuals and legal entities having the legal capacity to enter into a binding agreement under the applicable laws.

By using the Website or placing an Order, the Customer represents and warrants that they possess such legal capacity or, where required by applicable law, are acting with the authorization of a parent, guardian, or other legal representative.

The Customer agrees to use the Website, the Products, and the Services solely for lawful purposes and in accordance with these Terms of Service.

Without limitation, the Customer shall not:

  • use the Website for fraudulent or unlawful purposes;
  • submit Submitted Content that infringes the rights of any third party;
  • attempt to gain unauthorized access to Official Starter Packs™ computer systems;
  • interfere with the normal operation of the Website;
  • use robots, automated scripts, scraping tools, or any similar technology to extract, reproduce, or exploit Website content without prior written authorization;
  • infringe the intellectual property rights of Official Starter Packs™ or any third party.

Official Starter Packs™ reserves the right to suspend, restrict, or deny access to the Website or the Services whenever it reasonably believes that the Customer's use violates these Terms of Service or any applicable law.

4. Account Creation

Certain features of the Website may require the creation of an Account.

The Customer agrees to provide accurate, complete, and current information when creating an Account and to keep such information up to date at all times.

The Customer is solely responsible for:

  • maintaining the confidentiality of their login credentials;
  • all activities conducted through their Account;
  • any authorized or unauthorized use of their Account resulting from their failure to safeguard their access credentials.

Official Starter Packs™ may suspend, restrict, or terminate an Account if it determines or reasonably suspects, including but not limited to:

  • fraudulent use;
  • identity theft or impersonation;
  • a violation of these Terms of Service;
  • activity likely to harm the Website, the Services, or the rights of any third party;
  • use contrary to applicable laws.

The closure of an Account shall not affect any obligations arising from Orders already accepted nor any rights previously acquired by the Parties.

5. Orders

Any Order placed through the Website constitutes an offer to purchase the selected Products and/or Services.

The automatic acknowledgment of receipt of an Order does not constitute final acceptance of that Order.

An Order shall be deemed accepted only after:

  • confirmation of the Payment;
  • validation of the information provided;
  • and, where applicable, the official acceptance of the Order by Official Starter Packs™.

Official Starter Packs™ reserves the right to refuse, suspend, or cancel any Order, including, without limitation, where:

  • the information provided is incomplete, inaccurate, or misleading;
  • the Submitted Content violates these Terms of Service or our Policies;
  • fraudulent activity is suspected;
  • the requested Product is technically impossible to produce;
  • an obvious pricing or description error has occurred;
  • the Order cannot be processed due to a legal requirement.

The refusal of an Order shall not give rise to any liability on the part of Official Starter Packs™, except where otherwise required by applicable law.

6. Product Customization

The Products offered by Official Starter Packs™ are primarily custom-made based on the information, preferences, and Submitted Content provided by the Customer.

Each customized Product may include, among other things:

  • a character;
  • one or more accessories;
  • a background or scenery;
  • a title;
  • a name;
  • a layout;
  • a color palette;
  • an artistic style;
  • an OSP™ Certificate of Authenticity;
  • an OSP™ Identification Number, where available.

The Customer acknowledges that each Product is an original creation produced specifically for their Order.

Due to the artistic and customized nature of the Products, minor differences may exist between the approved OSP™ Artwork and the final Product, including, without limitation, differences resulting from:

  • the printing process;
  • the materials used;
  • normal color variations between digital displays and printed media;
  • manufacturing constraints;
  • the characteristics of the technologies used.

Such normal variations shall not constitute a manufacturing defect and shall not entitle the Customer to a replacement or refund.

Official Starter Packs™ retains full discretion regarding the design, production, printing, assembly, and manufacturing methods used to create its Products, provided that the approved Order is substantially respected.

7. Uploading Content

To enable the creation of certain Products or the provision of certain Services, the Customer may be required to submit Submitted Content through the Website or by any other communication method authorized by Official Starter Packs™.

The Customer represents and warrants that:

  • they own the Submitted Content or have obtained all necessary rights, licenses, permissions, and consents to authorize its use;
  • the Submitted Content does not infringe any copyright, intellectual property right, privacy right, publicity right, trademark, or any other right belonging to a third party;
  • the Submitted Content complies with all applicable laws;
  • the Submitted Content does not contain any virus, malware, malicious code, or any other element that could compromise the security or operation of the Website or the Services.

Official Starter Packs™ reserves the right to refuse, suspend, or remove any Submitted Content that:

  • is unlawful, offensive, defamatory, discriminatory, hateful, or violent;
  • violates these Terms of Service or our Policies;
  • is technically unusable;
  • presents a legal or commercial risk to Official Starter Packs™.

The refusal of Submitted Content shall not constitute a fault on the part of Official Starter Packs™ and shall not entitle the Customer to any compensation, except where required by applicable law.

8. Creation Process

Each customized Product is created according to Official Starter Packs™' proprietary production process.

Depending on the nature of the Product or Service ordered, the creation process may include, without limitation:

  • receipt of the Order;
  • verification of the information provided;
  • review of the Submitted Content;
  • creation of the OSP™ Artwork;
  • preparation of graphic elements;
  • one or more revisions, where applicable;
  • Customer approval, where applicable;
  • production;
  • quality control;
  • shipping.

Official Starter Packs™ retains sole responsibility for all technical, artistic, and creative decisions required to produce its Products.

Unless otherwise stated, all images, mock-ups, digital previews, and OSP™ Artwork provided to the Customer before production are supplied solely for approval purposes and may differ slightly from the final Product.

Official Starter Packs™ reserves the right to make any technical or graphical adjustments deemed necessary to ensure the quality, feasibility, or compliance of the Product, provided that such adjustments do not materially alter the Order approved by the Customer.

9. Use of Artificial Intelligence

Official Starter Packs™ may use Artificial Intelligence ("AI") technologies during certain stages of the design, customization, optimization, or production of its Products and Services.

Such technologies may be used, among other things, to:

  • accelerate certain stages of the creative process;
  • assist in the creation of illustrations and graphic compositions;
  • improve the visual quality of certain elements;
  • optimize image processing;
  • facilitate Product customization.

The Customer acknowledges that Artificial Intelligence is a creative assistance tool and does not guarantee a result identical to a photograph, drawing, or any other reference image.

Where deemed appropriate, OSP™ Artwork may be reviewed, modified, or enhanced by human intervention before approval or production.

Official Starter Packs™ retains sole discretion regarding the selection of Artificial Intelligence technologies, software, AI models, and creative methods used in providing its Services.

The complete terms governing the use of Artificial Intelligence are set out in the Artificial Intelligence Policy, which forms an integral part of these Terms of Service.

10. Revisions and Approval

Depending on the Product, Service, or applicable promotional offer, the Customer may be entitled to one or more revisions of the OSP™ Artwork before production.

Where an approval stage is provided, the Customer is responsible for carefully reviewing, among other things:

  • names;
  • spelling;
  • colors;
  • accessories;
  • graphic elements;
  • personalized information;
  • any other information appearing on the OSP™ Artwork.

The Customer must report any errors before granting approval.

Approval of the OSP™ Artwork authorizes Official Starter Packs™ to begin production.

Once approval has been granted, no modification, correction, or cancellation can be guaranteed.

Any additional request may be refused or may be subject to additional fees, depending on the nature and extent of the requested modifications.

11. Production Times

The production times displayed on the Website are provided for informational purposes only and are estimates.

Actual production times may vary due to, including but not limited to:

  • the volume of Orders;
  • the complexity of the Product;
  • the number of revisions requested;
  • the Customer's response or approval time;
  • the availability of materials;
  • supplier lead times;
  • peak production periods;
  • events of Force Majeure;
  • or any other circumstance beyond the reasonable control of Official Starter Packs™.

Production times begin only when:

  • the Order has been accepted;
  • the Payment has been successfully confirmed;
  • all required information has been received;
  • the Submitted Content has been deemed acceptable; and
  • where applicable, the OSP™ Artwork has been approved by the Customer.

Although Official Starter Packs™ makes every reasonable effort to meet estimated production timelines, no specific production or delivery date is guaranteed.

A reasonable production delay shall not constitute a breach of these Terms of Service and shall not, by itself, entitle the Customer to compensation, damages, or cancellation of an Order, except where required by applicable law.

12. Customized Products

The Products offered by Official Starter Packs™ are primarily custom-made based on the information, preferences, and Submitted Content provided by the Customer.

Due to their personalized nature:

  • each Product is unique;
  • Products are generally not intended for resale;
  • Products may exhibit characteristics inherent to their manufacturing process;
  • minor variations may exist between the approved OSP™ Artwork and the final Product.

Except where otherwise required by applicable law, a customized Product may not be returned or refunded solely because the Customer changes their mind after production has begun.

The terms governing returns, replacements, and refunds are set out in the Return and Refund Policy, which forms an integral part of these Terms of Service.

13. Pricing and Payment

All prices displayed on the Website are shown in the currency selected by the Customer and may be changed at any time without prior notice.

Applicable taxes, shipping charges, and any other applicable fees are calculated in accordance with applicable laws and are displayed before the final confirmation of the Order, where required.

Unless otherwise stated, full Payment is required before production begins.

Official Starter Packs™ may offer various Payment methods through secure third-party payment service providers.

All Payment transactions are processed by such providers in accordance with their own terms of service and privacy policies.

Official Starter Packs™ never has access to the Customer's complete credit card information or other confidential payment credentials.

In the event of an obvious pricing, calculation, or Product description error, Official Starter Packs™ reserves the right to cancel the Order before production begins and, where applicable, issue a full refund to the Customer.

14. Order Cancellation

The Customer may request cancellation of an Order only before the design or production process has begun.

Once the creation of the OSP™ Artwork, production, printing, or any other stage of manufacturing has commenced, cancellation can no longer be guaranteed.

Depending on the progress of the Order, Official Starter Packs™ may:

  • accept the cancellation without charge;
  • retain administrative fees;
  • retain design fees;
  • retain production costs already incurred;
  • refuse cancellation where manufacturing is too advanced.

Nothing in this Section limits any rights granted to the Customer under applicable law.

15. Intellectual Property

All elements available on the Website, including, without limitation, all text, images, illustrations, photographs, OSP™ Artwork, logos, trademarks, trade names, graphics, packaging, concepts, designs, OSP™ Certificates of Authenticity, videos, digital files, software, page layouts, and any other content are protected by applicable intellectual property laws.

Unless otherwise stated, all intellectual property rights belong exclusively to Official Starter Packs™ or are used under a valid license.

Nothing contained in these Terms of Service shall be interpreted as granting the Customer any ownership rights or license to use any intellectual property belonging to Official Starter Packs™.

Except with the prior written authorization of Official Starter Packs™, the Customer shall not, directly or indirectly:

  • reproduce;
  • copy;
  • modify;
  • adapt;
  • distribute;
  • publish;
  • display;
  • sell;
  • license;
  • lease;
  • exploit commercially; or
  • otherwise use,

in whole or in part, any content available on the Website or any Product.

16. Customer Submitted Content

The Customer remains solely responsible for all Submitted Content provided to Official Starter Packs™.

By submitting Submitted Content, the Customer represents and warrants that they own, or have obtained, all necessary rights, licenses, permissions, and authorizations required to allow Official Starter Packs™ to use such Submitted Content for the purpose of fulfilling the Order.

For the sole purpose of performing the Services requested by the Customer, the Customer grants Official Starter Packs™ a non-exclusive, worldwide, royalty-free, revocable, and limited license to:

  • reproduce the Submitted Content;
  • adapt it where necessary for production;
  • modify it for technical purposes;
  • digitize it;
  • store it;
  • print it;
  • communicate it to suppliers or subcontractors when reasonably necessary to fulfill the Services.

This authorization remains in effect only for the time reasonably necessary to fulfill the Order and to comply with applicable legal, accounting, warranty, and record-retention obligations.

Official Starter Packs™ does not claim ownership of the Customer's Submitted Content.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Official Starter Packs™, its directors, officers, employees, representatives, contractors, suppliers, licensors, and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or relating to, including but not limited to:

  • the use of, or inability to use, the Website;
  • the use of the Products or Services;
  • reasonable production delays;
  • shipping delays attributable to the Carrier;
  • temporary interruption of the Services;
  • technical failures;
  • computer malfunctions;
  • data loss;
  • unauthorized access;
  • viruses or malicious software;
  • Force Majeure events;
  • Submitted Content provided by the Customer; or
  • any circumstance beyond the reasonable control of Official Starter Packs™.

Where Official Starter Packs™ is found liable, its total liability shall, to the maximum extent permitted by law, be limited to the amount actually paid by the Customer for the specific Order giving rise to the claim.

Nothing in these Terms of Service excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

18. Suspension or Termination of the Services

Official Starter Packs™ may, at its sole discretion, suspend, restrict, or terminate a Customer's access to the Website, their Account, or any of the Services, including where:

  • these Terms of Service have been violated;
  • fraudulent activity is suspected;
  • a Payment has been declined or fraudulently disputed;
  • the Submitted Content violates applicable law or these Terms of Service;
  • the Customer's conduct compromises the security or integrity of the Website or the Services;
  • continuing the business relationship becomes unreasonable or impracticable.

Such suspension or termination shall not limit any other rights or remedies available to Official Starter Packs™ under applicable law.

19. Amendments to the Terms of Service

Official Starter Packs™ reserves the right to amend these Terms of Service at any time in order to reflect, among other things:

  • changes to its Products;
  • changes to its Services;
  • the introduction of new features;
  • changes to its business practices;
  • legal or regulatory requirements.

The most current version of these Terms of Service will always be published on the Website together with the date of the latest update.

The Customer's continued access to or use of the Website or the Services following the publication of any amendments constitutes acceptance of the revised Terms of Service.

20. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Québec and the applicable federal laws of Canada.

Subject to any mandatory rights provided under applicable law, any dispute, controversy, or claim arising out of or relating to these Terms of Service, the Website, the Products, or the Services shall be submitted to the competent courts of the Province of Québec, Canada.

Before commencing any legal proceedings, the Parties agree to make reasonable efforts to resolve any dispute in good faith through discussion and negotiation.

21. Entire Agreement

These Terms of Service, together with all Policies published on the Website, constitute the entire agreement between the Parties regarding the use of the Website, the Products, and the Services offered by Official Starter Packs™.

These Terms of Service supersede and replace all prior agreements, communications, representations, negotiations, or statements, whether oral or written, relating to the same subject matter, unless expressly agreed otherwise in writing.

No statement, information, or communication made by any representative of Official Starter Packs™ shall modify these Terms of Service unless such modification is made in writing and duly authorized by Official Starter Packs™.

22. Assignment

The Customer may not assign, transfer, or otherwise dispose of any of their rights or obligations arising under these Terms of Service without the prior written consent of Official Starter Packs™.

Official Starter Packs™ may, at any time and without the prior consent of the Customer, assign or transfer all or part of its rights, obligations, or business activities to any affiliate, successor, purchaser, or other entity, including, without limitation, in connection with a merger, corporate reorganization, sale of assets, or sale of the business.

Such assignment shall not affect any rights granted to the Customer under applicable law.

23. Language

These Terms of Service are available in both French and English for the convenience of our Customers.

To the fullest extent permitted by applicable law, the Parties acknowledge that the French version constitutes the official version of these Terms of Service and all Policies published on the Website.

In the event of any discrepancy, inconsistency, or difference in interpretation between the French version and any translated version, the French version shall prevail.

24. Severability and No Waiver

If any provision of these Terms of Service is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed severable and shall not affect the validity, legality, or enforceability of the remaining provisions, which shall remain in full force and effect.

The failure or delay of Official Starter Packs™ to exercise any right, remedy, or provision under these Terms of Service shall not constitute a waiver of such right, remedy, or provision.

No waiver by Official Starter Packs™ of any right or provision under these Terms of Service shall be effective unless it is made in writing and signed by a duly authorized representative of Official Starter Packs™.
